"Spin-off" enterprises will be created at higher educational institutions and scientific organizations to implement research results into production.
To include an enterprise in the Registry of organizations engaged in scientific and innovative activities, the share of the university or scientific organization in the authorized capital must be at least 25%. In addition, a justified business plan and confirmation that the manufactured products or services are based on the founder's developments are required. The authorized capital can be formed through off-budget funds, venture funds, local and foreign investors, as well as other permitted sources.
Applications for inclusion in the registry will be submitted through an electronic platform. The Agency for Innovative Development under the Ministry of Education and Science will conduct a technical review within 10 working days. Then the application will be considered by a special council.
The certificate of inclusion in the registry will be issued within three working days after a positive decision is made. Its validity period will be five years.
Enterprises included in the registry and manufacturing products based on patented scientific developments will be able to enjoy the benefits and preferences provided by law, with the exception of the social tax. For enterprises producing goods or providing services based on unpatented developments, a 50% reduction in the corporate income tax rate is provided for the period from May 1, 2026, to May 1, 2029.
Universities and scientific organizations will be able to provide their subsidiaries with buildings, lease land plots for a term of up to five years, and also provide financial support using their own off-budget funds with repayment within three years.
During the investment period, which is 5 years, the privatization of the state share in the enterprise is not allowed, except in cases provided for by the document. At its conclusion, the share will be offered for buyout to other participants at market value, and in case of refusal, it will be put up for public auction. The proceeds will be directed to the constituent fund for supporting innovative activities.
The Ministry of Education and Science must ensure the maintenance of the registry of "spin-off" enterprises within two months. The Agency will also regularly hold competitions for funding projects to prepare scientific developments for commercialization using funds from the Fund for Financing Science and Supporting Innovation.
